We provide expert consulting and analysis to businesses and business owners when they are undertaking their most important events. We provide our clients with a wide range of analyses, including:
Determining appropriate asking or offering prices for an entire company, or helping management or shareholders by analyzing an existing offering or asking price, common engagements include:
- Determining the appropriate price in which to sell a business to an existing management team.
- The analysis of an offer from an outside buyer (such as a private equity firm). Our analysis has been used as support for negotiations resulting in higher purchase prices than the initial offer.
- The valuation of two companies undergoing a merger, and the exchange ratios of the two companies.
The valuation of minority interests, including for the following purposes:
- The redemption of family shareholders.
- The buyout of a retiring partner from a business.
- The allocation of shares among existing shareholders of multiple companies that are being combined into a single entity.


We assist companies in the creation and design of (for example):
- Preferred or “frozen” equity interests.
- Convertible subordinated debt.
- Intra-family debt (used for the redemption of interests).
We have conducted fairness opinions for companies in various industries. When such reassurance is sought by a corporate board or other fiduciary. Even though a fairness opinion is not a requirement, the well-advised board often seeks one prior to a material transaction. Our fairness opinions have included companies that are in good financial health, as well as those that are distressed.
We have prepared numerous appraisals for ESOPs around the country. Our engagements have included a feasibility appraisal for companies considering the implementation of an ESOP, fairness opinions rendered for the trustees of a plan that was unwinding, and Appraisal Review Reports opining as to the appropriateness of the analyses and the credibility of the conclusion of an ESOP valuation report.
