Our full-service firm continues to be active in the areas of corporate finance, financial reporting and estate and succession planning. We recently assisted clients in these engagements:

Corporate Finance

  • A manufacturer of technology products contemplating the implementation of an Employee Stock Ownership Plan (ESOP) retained us to prepare a Multi-Method Pricing Analysis, which involves the application of various corporate finance techniques (including DCF and LBO analyses) designed to establish a range of selling prices.
  • Another client – a distributor of materials handling equipment – was involved in the buyout of a non-family minority shareholder’s stock, which by agreement was to be determined absent any discounts.
  • Two affiliated entities within the same mutual fund family were being combined to achieve operational efficiencies. We valued each company and then determined exchange ratios for purposes of the combination.

Financial Reporting

  • We were retained elsewhere in the distribution industry to conduct a Step 1 goodwill impairment test for a $1 billion-plus privately owned company.

Estate and Succession Planning

  • For the principal of a pharmaceutical development company, we determined the fair market value of the business’s common stock and common stock equivalents at multiple points in time, for GRAT funding and gift tax filing purposes. The company is currently undertaking Phase II clinical trials on its lead compound, an anti-cancer drug.
  • In the past year, we have valued over 10 automobile dealerships in multiple states, involving Mercedes, Toyota, Honda, Ford, VW, Chevrolet, Cadillac, Buick, GMC and Subaru stores.
